Designing a compliant multi-country structure for scaling lending and payment operations
A payments and lending business had product-market fit in one market and three expansion targets, each with a different regulatory perimeter. Local advisors in each market gave locally correct answers that contradicted each other at group level.
We mapped the licensing requirements against the actual money flows — who holds funds, who takes credit risk, who touches the customer — and found that two of the three planned licences were not needed if the flows were re-cut.
We designed the entity structure around the remaining regulated perimeter, built a single AML/KYC framework that satisfies the strictest of the three regimes, and prepared the governance and documentation an investor would test in diligence.
The group entered two markets on the original timeline with one licence application instead of three, and closed a financing round without a structural finding.
