Global Web3 Lending Protocol
A regulatory-aligned, scalable legal architecture for a global Web3 lending and liquidity ecosystem
We restructured the client's global organisation to support licensed lending and payment operations across multiple markets. The work included entity design, director frameworks, cash flow mapping, intra-group agreements, governance models and compliance alignment.
The core difficulty was that the regulatory regimes involved did not merely differ — in two places they contradicted each other. A structure that satisfied one supervisor created a licensing trigger with another.
We resolved conflicts between regulatory regimes and ensured that the new structure could scale without introducing tax residency or licensing risks.
The result is a single architecture the group can extend into new markets by adding a defined entity type, rather than redesigning the group each time.
